Lead Qualification Workflows: Automated systems that score, enrich, route, and qualify leads based on predefined criteria.
Sales Agent Automation: Multi-stage pipeline management tools with automated follow-up sequences, appointment scheduling, and no-show prevention.
Proposal Creation: Automated proposal generation with customizable templates, ROI calculators, and professional formatting.
Contract Generation: Streamlined contract creation and electronic signature workflows.
Onboarding Systems: Systematic client onboarding processes to ensure smooth transitions from sales to service delivery.

Eligibility and Account Registration
Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.
Our Services are intended for business use and are not directed to individuals under the age of 16. If you are under 16, you may not use our Services.
Account Creation
To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

Maintain and promptly update your account information to keep it accurate and current

Distribute Malware: Transmit any viruses, worms, defects, Trojan horses, malware, or any items of a destructive nature.
Interfere with Services: Interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services.
Unauthorized Access: Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means.
Scrape or Crawl: Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.
Impersonate Others: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
Spam or Unsolicited Communications: Send unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, or any other form of solicitation.
Manipulate or Abuse Systems: Artificially inflate metrics, manipulate our systems, or otherwise abuse the Services in a manner inconsistent with their intended use.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.
Intellectual Property Rights
Ownership
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, the "Content"), are the exclusive property of Seneca or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The Seneca name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Seneca or our affiliates or licensors. You may not use such marks without our prior written permission. Other names, logos, product and service names, designs, and slogans mentioned on our Services are the trademarks of their respective owners.
Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services for your internal business purposes. This license does not include any right to:
Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content or information obtained from the Services
Use the Services for any commercial purpose not expressly permitted by these Terms
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services
Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
User-Generated Content
If you submit, upload, or otherwise make available any content through our Services (such as feedback, testimonials, comments, or questions), you grant Seneca a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.
You represent and warrant that you own or have the necessary rights to grant us the rights to any content you submit, and that such content does not violate any third-party rights or applicable laws.
Payment Terms and Billing
Pricing and Fees
The fees for our Services are described on our website or in your service agreement. All fees are quoted in U.S. Dollars unless otherwise specified. We reserve the right to change our pricing at any time, but we will provide you with advance notice of any price changes that affect your existing subscription or service agreement.
Payment Methods
We accept payment via credit card, debit card, ACH transfer, wire transfer, or other payment methods as specified in your service agreement. By providing payment information, you represent and warrant that you are authorized to use the payment method you provide and authorize us to charge all fees to that payment method.
Billing Cycles
Depending on the service plan you select, you may be billed on a monthly, quarterly, annual, or one-time basis. Subscription fees are billed in advance at the beginning of each billing cycle. One-time setup fees are billed upon execution of the service agreement.
Automatic Renewal
Unless you cancel your subscription before the end of the current billing cycle, your subscription will automatically renew for successive periods of the same duration as the original term. You authorize us to charge your payment method for the renewal fees.
Late Payments
If payment is not received by the due date, we reserve the right to suspend or terminate your access to the Services until payment is received. Late payments may be subject to interest charges at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower).
Taxes
All fees are exclusive of applicable taxes, duties, or similar governmental assessments, including value-added tax, sales tax, use tax, and withholding taxes. You are responsible for paying all such taxes associated with your purchase, except for taxes based on our net income.
Refunds and Cancellations
Cancellation Policy
You may cancel your subscription at any time by providing written notice to us at least 30 days before the end of your current billing cycle. Cancellations will take effect at the end of the current billing cycle, and you will continue to have access to the Services until that time.
Refund Policy
Setup Fees: One-time setup fees are non-refundable once work has commenced on your implementation.
Monthly Subscriptions: Monthly subscription fees are non-refundable. If you cancel your subscription, you will not receive a refund for the current billing cycle, but your subscription will not renew for the next cycle.
Annual Subscriptions: Annual subscription fees may be refundable on a pro-rata basis if you cancel within the first 30 days of your initial subscription term. After 30 days, annual fees are non-refundable.
Portfolio Builder Program: If you are participating in our Portfolio Builder Program with waived setup fees, cancellation terms will be specified in your program agreement.
We reserve the right to make exceptions to this refund policy on a case-by-case basis at our sole discretion.
Service Level and Availability
Service Availability
We strive to provide reliable, high-quality Services with maximum uptime. However, we do not guarantee that our Services will be available at all times or that they will be uninterrupted, secure, or error-free. Our Services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.
Maintenance and Downtime
We may perform scheduled maintenance on our Services from time to time, which may result in temporary unavailability. We will make reasonable efforts to provide advance notice of scheduled maintenance. We may also need to perform emergency maintenance without advance notice.
Service Level Agreement (SLA)
For enterprise customers, specific service level commitments may be outlined in a separate Service Level Agreement. If you have an SLA, the terms of that agreement will govern service availability and performance standards.
AI Services and Automated Decision-Making
AI Voice Agents
Our AI voice agents are powered by advanced artificial intelligence and natural language processing technology. When you use our voice AI services, our AI agents may contact leads, prospects, or customers on your behalf using the contact information you provide.
You acknowledge and agree that:
AI voice agents will identify themselves as AI at the beginning of calls
Calls may be recorded for quality assurance, training, and compliance purposes
You are responsible for ensuring that you have the right to contact the individuals in your contact database
You will comply with all applicable telemarketing laws, including the Telephone Consumer Protection Act (TCPA), Do Not Call regulations, and similar laws
Automated Decision-Making
Our Services may use automated systems to make decisions about lead qualification, lead scoring, and sales prioritization. While we use advanced algorithms to provide accurate and useful results, automated decisions are not always perfect. You retain the right to review and override automated decisions.
AI Training and Data Use
We may use aggregated and anonymized data to train and improve our AI algorithms. We will not use your confidential business information or personal data to train third-party AI models without your explicit consent.
Limitations of AI
You acknowledge that AI technology has limitations and may not always produce accurate, complete, or appropriate results. You agree to use AI-generated outputs as a tool to assist your business processes, not as a substitute for human judgment and oversight.
Data Protection and Privacy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of personal information as described in the Privacy Policy.
You are responsible for ensuring that any personal data you provide to us or process through our Services is collected, used, and disclosed in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and other relevant privacy regulations.
If you use our Services to process personal data of third parties (such as your customers or leads), you represent and warrant that you have obtained all necessary consents and authorizations to collect, use, and share such data, and that you have provided appropriate privacy notices to those individuals.
Confidentiality

In the course of using our Services, you may have access to confidential or proprietary information of Seneca, including but not limited to technical specifications, business strategies, pricing information, and other non-public information ("Confidential Information").

Keep all Confidential Information strictly confidential
Not disclose Confidential Information to any third party without our prior written consent
Use Confidential Information only for the purpose of using our Services
Protect Confidential Information with the same degree of care you use to protect your own confidential information, but in no event less than reasonable care
Exclusions
Confidential Information does not include information that: (a) is or becomes publicly available through no breach of these Terms by you; (b) was rightfully in your possession before disclosure by us; (c) is rightfully obtained by you from a third party without breach of any confidentiality obligation; or (d) is independently developed by you without use of or reference to our Confidential Information.
Warranties and Disclaimers
Limited Warranty
We warrant that our Services will perform substantially in accordance with the documentation we provide. If the Services do not conform to this warranty, we will use commercially reasonable efforts to correct the non-conformity.
Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE
ANY ERRORS IN THE SERVICES WILL BE CORRECTED
THE SERVICES WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM YOUR USE OF THE SERVICES.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENECA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU TO SENECA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Indemnification
You agree to indemnify, defend, and hold harmless Seneca, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
Your use of or inability to use the Services
Your violation of these Terms
Your violation of any rights of another party, including any intellectual property rights or privacy rights
Your violation of any applicable law or regulation
Any content you submit, post, or transmit through the Services
Your use of our AI voice agents to contact individuals without proper authorization or in violation of applicable telemarketing laws
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
Dispute Resolution and Governing Law

Dispute Resolution

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Term and Termination

Termination by You
You may terminate your account and discontinue use of the Services at any time by providing written notice to us. Upon termination, you will remain responsible for all fees and charges incurred up to the date of termination.

Fraudulent, abusive, or illegal activity
Non-payment of fees

Upon termination of your account:

We may delete your account and all associated data
You will remain liable for all fees and charges incurred prior to termination
Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution provisions
Webinars and Events
Registration
When you register for webinars, training sessions, or other events hosted by Seneca, you agree to provide accurate registration information and to attend the event at the scheduled time. We reserve the right to cancel or reschedule events at any time.
Recording and Use
Webinars and events may be recorded. By attending, you consent to being recorded and to our use of such recordings for marketing, training, and educational purposes. We may make recordings available to registered attendees or the public.
Conduct
You agree to conduct yourself professionally during webinars and events. We reserve the right to remove any participant who engages in disruptive, offensive, or inappropriate behavior.
Third-Party Services and Links
Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by Seneca. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.
We may integrate with or use third-party services (such as CRM platforms, payment processors, or AI technology providers) to provide our Services. Your use of such third-party services may be subject to separate terms and conditions and privacy policies.
You acknowledge and agree that Seneca shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any third-party content, goods, or services.
Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Seneca regarding the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Seneca.
Assignment
You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms or our rights and obligations under these Terms at any time without notice to you.
Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
